By accessing or using WrenchBid ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
WrenchBid is a web-based application that uses artificial intelligence to help tradespeople generate job quotes from voice or text input. The Service is provided by WrenchBid ("Company," "we," "us").
The Service relies on third-party providers for speech-to-text transcription, AI processing, payment processing, and other functions. These providers may change at any time. WrenchBid is not responsible for the availability, accuracy, or performance of third-party services. Your use of the Service is also subject to the terms and policies of these third-party providers as described in our Privacy Policy.
All quotes generated by WrenchBid are estimates produced by artificial intelligence. They are provided for convenience only and may contain errors, omissions, or inaccurate pricing.
You are solely responsible for reviewing, verifying, and approving any quote before sending it to a client. WrenchBid is not responsible for financial losses, disputes, or damages arising from the use of AI-generated quotes.
Do not rely on AI-generated quotes as the sole basis for binding contracts.
WrenchBid provides an electronic signature feature as a convenience tool. WrenchBid is not a party to any agreement between contractors and their clients.
WrenchBid facilitates the collection of electronic signatures on quotes in compliance with the federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Uniform Electronic Transactions Act (UETA). By using the electronic signature feature, you acknowledge and agree that:
a) WrenchBid acts solely as a technology platform and is not a party to, guarantor of, or witness to any contract or agreement between you and your clients.
b) You are solely responsible for ensuring that electronic signatures are valid and enforceable in your jurisdiction and for your specific type of work or contract.
c) WrenchBid does not provide legal advice. You should consult with a qualified attorney if you have questions about the enforceability of electronic signatures for your contracts.
d) WrenchBid records the signer's name and timestamp as evidence of acceptance. WrenchBid does not guarantee the identity of the signer or verify that the person signing has authority to bind any party.
e) WrenchBid is not liable for any disputes, losses, or damages arising from the use of or reliance on electronic signatures collected through the Service, including but not limited to claims that a signature is invalid, unauthorized, or unenforceable.
f) You are responsible for retaining copies of all signed documents for your records. While WrenchBid stores signature data, we do not guarantee perpetual retention and recommend you save or print confirmation pages.
g) Certain types of contracts may not be valid with electronic signatures under applicable law (e.g., certain real property transactions, wills, family law documents). It is your responsibility to determine whether electronic signatures are appropriate for your use case.
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By using WrenchBid, you represent that you meet these requirements.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use at support@wrenchbid.app.
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse engineer or compromise the Service; (c) submit false or misleading information; (d) use the Service to harass or defraud others; or (e) resell or redistribute the Service without written permission.
All content, design, and technology comprising WrenchBid is owned by the Company and protected by applicable intellectual property laws. You retain ownership of any quote content you create using the Service.
WrenchBid may offer free and paid subscription tiers. Paid plans are billed in advance on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.
WrenchBid is a technology platform. WrenchBid is not a party to any transaction between contractors and their clients. All payment processing is provided by Stripe.
Payment processing services for contractors on WrenchBid are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By enabling online payments through WrenchBid, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time. As a condition of WrenchBid enabling payment processing services through Stripe, you agree to provide WrenchBid accurate and complete information about you and your business, and you authorize WrenchBid to share it and transaction information related to your use of the payment processing services provided by Stripe.
a) Platform Service Fee. WrenchBid charges a flat service fee of $3.50 per transaction processed through the platform. This fee is automatically deducted from the payment before funds are transferred to the contractor. The service fee is non-refundable.
b) Third-Party Processing Fees. Stripe charges its own processing fees on each transaction. These fees are set by Stripe and are subject to change. WrenchBid does not control Stripe's fees. You can review Stripe's current pricing at stripe.com/pricing. You are responsible for reviewing and understanding Stripe's fee structure.
c) No Guarantee of Payment. WrenchBid does not guarantee that clients will make payment, that payments will be processed successfully, or that funds will be available by any specific date. Stripe may hold, delay, or withhold payouts at its discretion in accordance with the Stripe Services Agreement. New connected accounts may be subject to payout delays.
d) Disputes, Chargebacks, and Refunds. WrenchBid is not responsible for payment disputes, chargebacks, or refund requests between contractors and their clients. Disputes are handled directly by Stripe and the contractor's financial institution. Contractors are responsible for all chargeback fees and reversed funds. Refund policies are between the contractor and their client; WrenchBid does not issue refunds on behalf of contractors. The WrenchBid platform service fee is non-refundable regardless of whether the underlying transaction is refunded or disputed.
e) Compliance and Verification. By enabling payment processing, you authorize Stripe to collect identity verification information as required by applicable law, including but not limited to your legal name, date of birth, address, tax identification number, and bank account information. WrenchBid does not collect, access, or store this information. Stripe handles all Know Your Customer (KYC), anti-money laundering (AML), and tax reporting obligations (including 1099 issuance) for connected accounts.
f) Limitation on WrenchBid's Role. WrenchBid provides technology that facilitates the connection between contractors and their clients. WrenchBid is not a bank, money transmitter, or payment facilitator. All funds are processed and held by Stripe in accordance with the Stripe Services Agreement. WrenchBid does not have direct access to, custody of, or control over funds held by Stripe on behalf of contractors or their clients.
g) Client-Facing Payments. When a contractor enables online payments on a quote, their client may pay the quoted amount through a Stripe-hosted checkout page. By enabling this feature, the contractor acknowledges that: (i) the client's payment is for goods or services provided solely by the contractor; (ii) the contractor is the merchant of record for the transaction; (iii) the contractor is solely responsible for the quality, delivery, and performance of the work quoted; and (iv) WrenchBid has no obligation to the client regarding the goods or services provided by the contractor.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WRENCHBID AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE.
Our total liability to you for any claim shall not exceed the amount you paid us in the twelve months preceding the claim.
WITHOUT LIMITING THE FOREGOING, WRENCHBID SHALL NOT BE LIABLE FOR: (A) ANY PAYMENT PROCESSING FAILURES, DELAYS, OR ERRORS CAUSED BY STRIPE OR ANY THIRD-PARTY PAYMENT PROVIDER; (B) ANY DISPUTES BETWEEN CONTRACTORS AND THEIR CLIENTS, INCLUDING DISPUTES OVER QUALITY OF WORK, NON-PERFORMANCE, OR PAYMENT AMOUNTS; (C) ANY LOSSES ARISING FROM CHARGEBACKS, REVERSED TRANSACTIONS, OR WITHHELD FUNDS; (D) ANY LOSSES ARISING FROM UNAUTHORIZED ACCESS TO YOUR STRIPE CONNECTED ACCOUNT; OR (E) ANY LOSSES ARISING FROM YOUR FAILURE TO COMPLY WITH STRIPE'S TERMS OF SERVICE OR APPLICABLE LAW.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WRENCHBID DOES NOT WARRANT THAT PAYMENT PROCESSING WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WRENCHBID DOES NOT GUARANTEE THE IDENTITY, CREDITWORTHINESS, OR LEGITIMACY OF ANY CLIENT WHO MAKES A PAYMENT THROUGH THE SERVICE.
You agree to defend, indemnify, and hold harmless WrenchBid and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) any dispute between you and your clients; (d) any transaction processed through the payment features of the Service; (e) your provision of goods or services to your clients; (f) any inaccurate, misleading, or incomplete information provided by you; or (g) your violation of any applicable law, rule, or regulation.
We reserve the right to suspend or terminate your account at our discretion if you violate these Terms. You may terminate your account at any time by contacting us. Termination does not affect any obligations that arose prior to termination, including pending payment transactions or disputes.
We may update these Terms at any time. We will notify registered users by email. Continued use of the Service after changes constitutes acceptance.
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.
a) Informal Resolution First. Before initiating arbitration, you agree to contact us at support@wrenchbid.app and attempt to resolve any dispute informally for at least 30 days. Most disputes can be resolved without formal proceedings.
b) Binding Arbitration. If a dispute cannot be resolved informally, you and WrenchBid agree to resolve it through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in the State of Colorado or, at your election, by phone or video conference. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction.
c) Class Action Waiver. You and WrenchBid agree that disputes will be resolved only on an individual basis. Neither party may bring a claim as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.
d) Small Claims Exception. Notwithstanding the above, either party may bring an individual action in small claims court in the State of Colorado if the claim falls within that court's jurisdiction.
e) Opt-Out Right. You may opt out of this arbitration provision by sending written notice to support@wrenchbid.app within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in Colorado.
